New chair and board due for Scottish Salmon Company

The Scottish Salmon Company PLC will get a new chairman and directors at an extraordinary general meeting on December 9 following the purchase of more than 80% of the firm’s shares by Faroese salmon farmer Bakkafrost.

Chairman Robert Mott Brown III will be replaced by Erling Lind, a business lawyer with expertise in mergers and acquisitions and a partner with Norwegian legal practice Ro Sommernes.

According to Ro Sommernes’ website, Lind is highly experienced in transactional work and has consistently been ranked as one of Norway’s most prominent lawyers in the shipping and oil service sectors by Chambers Europe and Legal 500 over the last decades.

‘Good understanding’

SSC said Lind had advised various fish farming companies including Bakkafrost and has a good understanding of the industry.

Two other new directors will also be appointed.

Christian F Andreasen is a partner in Advokatskrivstovan, one of the largest law firms in the Faroe Islands, and has many years of experience on the boards of many of the Faroes’ largest firms.

Henrik Helberg has 20 years’ experience in M&A and capital markets and is currently general advisor to Bakkafrost and Scandi Standard AB, a Sweden-based company that produces chicken food products.

Marine Harvest

Helberg was finance director of the world’s biggest salmon farmer, Marine Harvest (now Mowi), for nine years.

Brown and the PLC’s existing directors, Martins Jaunarajs, Ragnhild Merete Myhrstad, Douglas Robert Duncan Low and Viacheslav Lavrentyev will be removed as directors, assuming all resolutions are approved.

In a letter to shareholders, Brown stated: “Your directors consider that all of the proposed resolutions are in the best interests of the company and its members as a whole. Accordingly, the directors unanimously recommend members vote in favour of each of the resolutions being proposed at the EGM.”
